How to Enter the Contest

The SoyaWorld Inc. ("SoyaWorld") So Nice Bike Giveaway contest (the "Contest") begins May 1, 2006. Enter by completing the entry form online at www.sonice.ca and click where directed to forward the entry electronically. One entry per person. All entries must be received by midnight (PST) on June 16, 2006, the Contest closing date. SoyaWorld is not responsible for any entries lost or misdirected. No purchase necessary.

Although online access and an e-mail account must be used in order to participate in this contest, no purchase of any kind is required. Many public libraries, retail businesses and others offer free access to computers and a number of Internet service providers and other companies offer free e-mail accounts.

To enter the Contest, individuals will be required to provide their correct e-mail address, first and last name, complete address including postal code, phone number and age bracket. In addition, SoyaWorld Inc. may collect certain personal, usage and purchase information. All information collected at the entry web site for this contest is protected against unauthorised access. By using the entry web site you consent to collection and use of this information by SoyaWorld Inc. and/or Norco.

SoyaWorld Inc. and/or Norco will not wilfully disclose individually identifiable information about a contestant to any third party without first receiving the contestant's permission. SoyaWorld Inc. and/or Norco will not share or sell a contestant's personal information to other companies, organizations or individuals with the single exception as noted below - the winner's name, address and phone number will be supplied to Norco for the purposes of prize pick-up at local Norco dealerships. Norco agrees not to share that personal information with any other company, organization or individual.

Prizes

There will be a total of one hundred (100) prizes available to be won. The prizes will each consist of a Norco Rio Vista 2006 Cruiser Bike (the "Prize Bike"). Approximate retail value of each Prize Bike: $319.00 (CAD) each. Only one Prize Bike per contest winner. Each Prize Bike must be accepted as awarded, has no cash value, cannot be transferred, substituted, added to or redeemed. Each Prize Bike will be shipped to the Norco dealer closest to the prize winner's residential address. The contest winner consents to the supply of the winner's name, address and phone number to Norco in order for Norco to contact the winner to pick-up the bike after assembly at the dealership. Shipment and assembly of the bike at the dealership will take approximately 4-5 weeks after the prize winner has been confirmed. By entering this contest, all entrants agree to this personal information being released to Norco. All decisions of the judges are final.

How to Win

A random draw will be held by an independent judging organization in Vancouver, British Columbia on June 30, 2006 for one hundred (100) selected entrants. The selected entrants will be notified by mail or telephone within two weeks of that draw. Chances of winning will be dependent upon the number of eligible entries received.

In order to win, the selected entrants must each correctly answer the time-limited mathematical, skill-testing question administered by mail. In order to be declared a winner, the selected entrants must first each sign a Release and Waiver of Liability and a Publicity Release, the latter agreeing to the use of his or her name, photo, voice and/or statements without compensation other than the prize offered. If the selected entrant answers the skill-testing question incorrectly or refuses to sign the required forms, he or she will not be awarded a winning prize, the independent judging organization will draw from the remaining entries.

By entering the contest, the entrants agree to be bound by the rules of the contest and agree to the decisions of the independent judging organization with respect to all aspects of this contest. All residents of Canada are eligible to win, providing they are over the age of majority in the province in which they live on May 1, 2006 and providing that they are not employees of SoyaWorld Inc., Norco, their advertising or promotional agencies or the independent judging organization or family members with whom these employees are domiciled.

SoyaWorld Inc. reserves the right to substitute other prizes of equal or greater value if the prizes offered are unavailable for any reason. If for any reason in the opinion of SoyaWorld Inc. in its sole discretion, the contest is not capable of running as planned or if the administration, security, fairness, integrity or proper conduct of the contest is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorised intervention, fraud, technical failures or any other causes beyond its control, SoyaWorld Inc. reserves the right to cancel, terminate, modify or suspend the contest including any method of entry.

Soyaworld Inc. will not be responsible for telephone, technical, network, online, electronic, computer hardware or software failures of any kind, misdirected, stolen, incomplete, garbled or delayed Internet/e-mail computer transmissions on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participants or downloading any materials in this contest. Finally, SoyaWorld reserves the right to modify the contest rules without materially affecting the terms and conditions of the contest.

Online entries will be deemed to have been submitted by the authorised account holder of the e-mail address submitted at the time of entry. "Authorised account holder" is defined as the natural person who is assigned to the e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

All entries become the property of SoyaWorld Inc. The contest is subject to all Federal, Provincial and Municipal regulations and is void where prohibited by law. For residents of Quebec, any litigation respecting the conduct and awarding of a prize in this publicity contest may be submitted to the Regis des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties to reach a settlement.
